This Master Production & Licensing Agreement (the "Agreement") is entered into by and between Spain Company LLC, doing business as Spain Studios ("Studio"), and the individual or entity purchasing services via the digital checkout portal ("Client").

By checking the "I agree to the Terms & Conditions" box, completing payment, or executing a digital signature, Client agrees to be legally bound by this Agreement.

ARTICLE ONE:  SCOPE OF SERVICES, DELIVERABLE, & MANDATORY PREREQUISITE

​

This Agreement governs the foundational production pack, subscription tiers, and modular add-on services selected by Client during the online booking checkout.​

​

1.     AI Character Creation Starter Pack is a foundational service that includes the following...

​

• Mandatory Prerequisite:  The AI Character Creation Starter Pack is a strict, one-time mandatory purchase. Studio cannot calibrate custom likeliness models or execute add-on services (The Digital Tailor or The Studio Architect) as standalone products.

• Deliverables:  Ten (10) high-resolution digital image assets featuring a diverse portfolio of camera angles, facial crops (close-ups, profile, medium torso), and authentic professional expressions.

• The Environment:  A clean, minimalist, high-end white studio backdrop with commercial-grade studio lighting.

• The Wardrobe:  One (1) curated, professional outfit chosen during the intake process.

 

2.     The Studio Architect is a modular add-on service that includes the following...

​

• Deliverables:  Five (5) high-resolution digital image assets utilizing a custom, photorealistic natural or architectural setting custom-built to Client's reference images.

​

3.     The Digital Tailor is a modular add-on service that includes the following...

​

• Deliverables:  Five (5) high-resolution digital image assets utilizing a custom-rendered outfit or wardrobe layout built specifically from Client-supplied references.

​

4.     The On-Demand Content Subscription is a monthly subscription service that includes the following...

​

• Deliverables:  Five (5) brand-new, context-specific digital image assets of Client's calibrated character delivered every thirty (30) days to fuel ongoing marketing and social pipelines.

• Subscription Scope:  To ensure continuous variety and dynamic content scaling, each monthly delivery cycle will feature the Client's calibrated character rendered in a completely new outfit/wardrobe configuration and positioned within a completely new architectural location/environmental setting. The creative direction, themes, and styles for these monthly updates will be determined through ongoing collaboration between the Client and the Studio.

ARTICLE TWO:  ONBOARDING & IMAGE SUBMISSION FRAMEWORK

​

To calibrate the custom machine-learning model and ensure an accurate physical likeness, Client must adhere strictly to the following photo submission guidelines:

​

1.     Core Character Likeness:  Client must submit a minimum of seven (7) and a maximum of ten (10) high-resolution smartphone or professional photographs. The first seven photos must strictly include:

​

• Photo 1:  Front portrait/headshot (neutral, stoic expression).

• Photo 2:  Front portrait/headshot (natural, smiling expression).

• Photo 3:  90-degree side profile portrait.

• Photo 4:  45-degree, three-quarter profile portrait.

• Photo 5:  Full-body frontal view.

• Photo 6:  Full-body side view.

• Photo 7:  One (1) to three (3) example image(s) of the desired wardrobe style.

 

2.     Identity Rule:  Photos one (1) through six (6) must be of the Client's exact physical likeness. Photo seven (7) (and any references for The Digital Tailor or The Studio Architect) may be sourced from any digital storefront or design catalog; Client does not need to own or be physically present in the add-on reference images. Client assumes full responsibility for providing the visual data required to execute their specific creative vision.

ARTICLE THREE:  PRODUCTION, SCHEDULING, & REVISIONS CAP

​

1.     The Cohort System:  Studio operates on a strict production limit of five (5) exclusive clients per week. Booking a Monday morning time slot acts as a digital placeholder to secure a position in that week's production queue. Physical attendance is not required.

​

2.     The Upload Deadline:  All reference photographs and asset data forms must be uploaded to the secure intake portal prior to the scheduled Monday cohort kickoff. Delayed submissions may result in the immediate rescheduling of the project.

​

3.     Delivery Timeline:  Finalized digital assets will be delivered directly to Client's registered email address within seven (7) business days from the Monday cohort kickoff.

​

4.     Revisions Cap:  Client is entitled to a maximum of ten (10) individual asset revisions total per project order. Because computational AI generations and machine-learning rendering models incur direct processing costs and are not free, this ten (10) revision limit is strictly capped. Revision requests should be submitted in a consolidated brief. Additional modifications beyond the initial ten (10) may be performed at the current Studio hourly rate upon Client's request.

ARTICLE 4:  FEES, BILLING, & RESCHEDULING POLICIES

​

1.     Payment Terms:  One-time package fees must be paid in full online at the time of booking. Subscriptions fees auto-bill every thirty (30) days to the credit card on file until canceled by the Client.

​

2.     Refund Policy:  Due to the immediate allocation of server computation, secure machine-learning model configuration, and strict weekly cohort caps, all payments made to Spain Company LLC are 100% final, non-refundable, and non-transferable.

​

3.     Rescheduling Restrictions:  Client may request to move their scheduled production slot to a future open week up to 72 hours prior to the Monday kickoff. Due to strict weekly cohort caps and locked operational pipelines, rescheduling requests cannot be accommodated within the 72-hour window immediately preceding the scheduled kickoff.

​

ARTICLE FIVE:  INTELLECTUAL PROPERTY, DATA SECURITY, & MARKETING RELEASE

​

1.     Client Ownership:  Upon delivery of the final high-resolution assets and successful payment processing, Client is granted an exclusive, perpetual, worldwide, royalty-free license to use, distribute, modify, and display the final images for all commercial, professional, and personal marketing channels.

​

2.     Model Custody:  To protect the Client's digital identity, Studio retain secure, encrypted custody of the custom trained AI model weights (the "Likeness Engine"). This engine is dedicated solely to the Client and will never be shared, leased, or sold to outside third parties.

​

3.     Spain Company Marketing Release:  By executing this agreement, Client hereby grants Spain Company LLC and its subsidiaries (including Spain Studios) a non-exclusive, worldwide, royalty-free, perpetual license to utilize the delivered image assets, reference photos, and final renders for promotional, portfolio, website display, case studies, and marketing purposes across all print and digital mediums.

​

4.     Data Privacy:  Except for the promotional rights granted in the marketing release above, all personal user data and submitted onboarding files remain confidential and fully protected under Spain Company privacy guidelines.

​

ARTICLE SIX:  CREATIVE INTERPRETATION & LIMITATION OF LIABILITY

 

Client acknowledges that the services rely on advanced machine-learning interpretation integrated with human digital artistry. While Studio guarantees a high-fidelity, premium translation of Client's physical features, final outputs will feature artistic adjustments regarding fabric folds, shadows, environmental global illumination, and depth of field to ensure absolute photorealism. Minor creative variances from reference material are standard and do not constitute a breach of contract or grounds for a refund.

ARTICLE SEVEN:  DIGITAL EXECUTION

​

By processing payment and checking the acknowledgment box on the Spain Studios checkout portal, both parties agree that this digital action constitutes a legal, binding signature equivalent to a hand-executed document under the Electronic Signatures in Global and National Commerce Act (E-SIGN).
